RELEASE FOR USE OF PHOTOGRAPH
MODEL RELEASE AND CONSENT AGREEMENT
Subject to the terms and conditions herein, for good and valuable consideration, the receipt and sufficiency of which are acknowledged, I irrevocably and unconditionally grant to TED Conferences LLC, a California limited liability company, and Hot Studio, Inc., a California corporation (TED Conferences LLC and Hot Studio, Inc. shall be referred to collectively hereunder as the "Companies"), and their respective subsidiaries and affiliated companies, associate agencies, successors, licensees, consultants, service providers, assigns, and such other persons as either of the Companies may designate from time to time, the absolute right and permission in perpetuity to use, copy, and reproduce photograph(s) posted or uploaded hereby in any manner on a worldwide basis, for the purpose of advertising, promoting, publicity, commercial, trade, or for any other lawful purpose whatsoever, in any medium now known or hereafter developed, all as for or relating to the website located at http://onceuponaschool.org owned, conceived and/or operated by TED Conferences LLC and designed and/or developed by Hot Studio, Inc.
I hereby waive any right to inspect or approve the finished photographs, any advertising copy or printed or other matter that may be used in conjunction therewith, or any use thereof.
I hereby release the Companies and anyone who receives permission from either of them, from any liability concerning any blurring, distortion, or alteration, intentional or otherwise, that may occur or be produced in connection with the photographs or in connection with any processing, alteration or publication of the photographs. I hereby acknowledge and agree that the photographs may be edited, altered and otherwise modified and used hereunder in any manner. The Companies reserve the absolute right to remove any photographs posted or otherwise uploaded by me at any time for any reason whatsoever, as determined in the Companies' sole discretion.
I acknowledge that (a) I own any and all title, rights and interests in and to the photograph(s), (b) no third party has any claim therein whatsoever and (c) I have the full legal capacity to enter in this agreement. Further, I acknowledge and agree that I will not post or otherwise upload any photographs that are contrary to the policies of the Companies, as in effect from time to time, or would otherwise violate the laws of any applicable jurisdiction. In the event of a breach of the foregoing, I agree to indemnify and hold harmless the Companies, and their respective subsidiaries and affiliated companies, associate agencies, successors, licensees, consultants, service providers, assigns and designees, from any claim or liability whatsoever arising out of or in connection with the exercise of any of the rights granted hereunder of any kind or nature whatsoever whether now known or later devised.
This agreement is governed by the laws of the State of California applicable to agreements made and to be performed in that State and constitutes the complete and exclusive agreement with respect to the subject matter herein.
